Job Title: Company Secretary - Funds, Dublin

Our client a leading law firm in Dublin has an outstanding opportunity for an experienced Company Secretary to join their Funds Company Secretarial team in Dublin. This role offers an excellent opportunity to develop your experience within a busy and successful team.

The successful candidate will liaise with a wide range of external providers as well as members of the Funds and Asset Management department within the firm to facilitate board reporting.

The successful candidate will be expected to gain and maintain the confidence of the Boards and Committees by attending Board Meetings in person or by video conference and will be responsible for delivering high quality Minutes and follow up actions.

The Role:
  • Working as part of a team;
  • Managing and being the point of contact for the business for a range of corporate entities through the setting of agendas in addition to the preparation and distribution of Board packs;
  • Coordinating, attending and taking control of Board Meetings, shareholder meetings and AGMs where appropriate;
  • Preparation and execution of Minutes and matters arising for the Boards or Committees within agreed timeframes;
  • Building and maintaining excellent relationships with the Chairpersons and Directors of each entity for which you are responsible;
  • Ensuring company secretarial procedures are properly managed;
  • Working with the Funds and Asset Management department to ensure that Board Pack submissions and draft Minutes are of the highest standard meeting Central Bank requirements;
  • In liaison with the Head of Department, assist with the establishment and liquidation of corporate entities;
  • Responsible for ensuring that all Board and Committee Terms of References are regularly reviewed and updated, as required.

 The Person:

  • Minimum of 4-6 years Funds Company Secretarial experience
  • Ideally qualified Company Secretary but not a pre-requisite
  • Excellent Minute taking skills
  • Attention to detail and proofing skills essential
  • Ability to work under pressure with flexibility to adapt to shifting time expectations
  • Highly organised individual with ability to prioritise workload and work on their own initiative
  • Excellent communication skills with confidence at building relationships across all levels of the business.
  • Experience in the investment/funds management industry with a good knowledge of investment management and regulatory jurisdictions.
